Terms of Service

Welcome to ePaper (hereinafter referred to as "we" or "the Platform"). These Terms of Service (hereinafter referred to as "Terms") govern your (hereinafter referred to as "User" or "you") rights and obligations when using the ePaper newsletter platform services. By registering an account or using our Services, you agree to comply with these Terms. If you do not agree to these Terms, please do not use our Services.

1. Account Creation and Management

  • You must be at least 18 years old or have reached the legal age of majority in your jurisdiction to create an account.
  • You must provide accurate, complete, and current account information and are responsible for maintaining its accuracy.
  • You are responsible for safeguarding your account credentials (including passwords) and are liable for all activities under your account.
  • Each user may only create one account unless otherwise granted written permission.
  • You must notify us immediately if you discover unauthorized use of your account.

2. Acceptable Use

When using our Services, you agree not to:

  • Send unsolicited commercial emails (spam) without recipient consent
  • Send content containing malware, viruses, or harmful code
  • Distribute illegal, defamatory, harassing, threatening, or rights-infringing content
  • Use false or misleading sender information
  • Attempt to gain unauthorized access to other users' accounts or data
  • Interfere with or disrupt the Platform's servers or network infrastructure
  • Transfer or sell account access to third parties
  • Use the Platform for any activity that violates applicable laws or regulations

Violation of these rules may result in account suspension or termination, and we reserve the right to pursue legal action.

3. Payment Terms

  • The Platform offers multiple paid plans. Fees and features are detailed on the pricing page.
  • Paid plans are billed monthly, automatically charged on the same date each month. All fees are calculated in US Dollars (USD).
  • New users enjoy a 30-day free trial period with no payment information required. After the trial ends, you must choose a paid plan to continue using the Services.
  • All payments are processed through Stripe. You agree to comply with Stripe's terms of service.
  • You may upgrade or downgrade your plan at any time. Upgrades take effect immediately with prorated billing. Downgrades take effect after the current billing cycle ends.
  • Unless otherwise required by law, fees already paid are non-refundable. If you cancel mid-cycle, the service continues until the end of that cycle.
  • We reserve the right to adjust service fees. Fee changes will be communicated 30 days in advance and take effect in the next billing cycle.

4. Service Availability

  • We strive to provide stable and reliable service, but do not guarantee that the Service will be uninterrupted or error-free.
  • We may suspend service for system maintenance, upgrades, or force majeure. Scheduled maintenance will be communicated in advance.
  • Business plan users are covered by a 99.9% Service Level Agreement (SLA). Detailed SLA terms are provided separately.
  • We reserve the right to modify, suspend, or terminate any part of the Service at any time, with reasonable advance notice.

5. Intellectual Property

  • All intellectual property rights related to the ePaper platform, its software, design, trademarks, and content belong to us.
  • The intellectual property rights of newsletter content you create and publish through the Platform belong to you. You grant us a limited license necessary to provide the Services.
  • You warrant that content published through the Platform does not infringe any third party's intellectual property rights.

6. Limitation of Liability

  • To the maximum extent permitted by law, ePaper and its management team are not liable for any indirect, incidental, special, punitive, or consequential damages arising from use of or inability to use the Services.
  • Our total liability for any claim shall not exceed the total fees you paid to us in the 12 months preceding the claim.
  • We are not liable for losses caused by interruptions or failures of third-party services (including but not limited to Stripe, AWS, Supabase).
  • We do not guarantee that emails sent through the Platform will reach recipients' inboxes. Email deliverability is affected by multiple factors.

7. Termination

  • You may cancel your subscription and delete your account at any time through your account settings.
  • We reserve the right to suspend or terminate your account in the following circumstances: violation of these Terms, engagement in illegal activities, prolonged inactivity (over 12 months), or failure to pay due fees.
  • After account termination, we will retain your data for 30 days for export purposes. After 30 days, data will be permanently deleted.
  • Termination does not affect rights and obligations that arose prior to termination.

8. Disclaimer

The Service is provided on an "as is" and "as available" basis, without any express or implied warranties, including but not limited to implied warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not guarantee that the Service will meet all your needs or that the results of the Service will be accurate and reliable.

9. Changes to Terms

We reserve the right to modify these Terms at any time. Significant changes will be communicated 30 days in advance via email or in-service notification. Continued use of our Services after changes take effect constitutes acceptance of the modified Terms. If you do not agree to the modified Terms, you should stop using the Services and terminate your account as prescribed.

10. Governing Law and Jurisdiction

These Terms are governed by and construed in accordance with the laws of the Republic of China (Taiwan). Any disputes arising from these Terms or the Services shall first be resolved through good faith negotiation. If negotiation fails, both parties agree to submit to the exclusive jurisdiction of the Taipei District Court of Taiwan as the court of first instance.
